Course Description:
Relationships between health systems and physicians or physician groups pose various regulatory and contractual compliance and business issues. An acquisition of physician practices also raises concerns regarding value of such practices and how those values are determined and supported. In addition, compensation to physicians also can raise regulatory concerns or exposures, including related to incidental services or benefits provided. This panel of legal, compliance and consulting professionals will discuss ongoing and emerging issues related to physician relationships and practice acquisitions along with perspectives on potential future regulatory changes or matters. Participants will have the ability to ask questions regarding relevant topics and issues.

Presenters:
Kristin Taffe, CPA, ABV, Business Valuation Manager | Eide Bailly
Kristin assists business owners going through periods of change by listening and helping them feel understood. She provides valuation services and works in an advisory capacity with health systems looking to sell or acquire a business. Valuation and consulting services are often needed at emotional times. Clients can expect Kristin to take the time to understand and analyze their situation, while reducing stress, by simplifying the process. Kristin aims to make the process understandable and successful while allowing business owners to concentrate on operations.

Joe Wolfe, Health Law Attorney | Hall Render Killian Heath & Lyman
Joe Wolfe represents a wide variety of healthcare clients nationwide and currently serves as the leader of Hall Render’s health care regulatory practice group. He has considerable experience with technical Stark and Anti-Kickback analysis, physician compensation and fair market value issues. He regularly assists clients with physician contracting, compensation model design, and internal compliance reviews involving physician arrangements, especially where compliance with Stark’s “Big 3” is at issue (i.e., fair market value, commercial reasonableness, potential incentives for referral volume/value). He is a frequent speaker for several major health care trade associations (e.g., AHLA, HCCA, AMGA, ACHE) and has given over 200 in-person, web-based and podcast presentations in recent years. He currently serves as vice chair of educational programming for the American Health Law Association’s Fraud & Abuse Practice Group. Before attending law school at the University of Wisconsin, Joe served as a combat engineer in the United States Army.

Anna Brewer, CVA, Partner-Consulting Services | JTaylor
As a Partner in the Consulting division, Anna leverages strong analytical and financial analysis skills in the areas of physician compensation, transaction support, valuations, due diligence, joint venture development and strategic business plans. Her list of clients is comprised of physician practices, ambulatory surgery centers, community hospitals, multi-hospital systems, academic medical centers, and healthcare investors. Anna has served as a consulting and testifying expert on both healthcare and non-healthcare dispute and litigation matters.

Scott Sisel, CPA, Partner-in-Charge of Health Systems and Internal Audit Services
Scott leads the firm’s Internal Audit services practice. He has served a variety of industries with a focus on the healthcare industry. More specifically, Scott has advised public and private health care organizations, including health systems, health insurers and accountable care and related organizations. He assists organizations in various industries on risk management, internal controls and audit, operational improvement analysis, business restructuring and other regulatory and compliance matters. Scott's expertise also includes risk assessment, risk management, and the development of industry best control practices.
